PICKSPOT PLATFORM TERMS OF SERVICE
PLEASE READ CAREFULLY. These Terms contain important provisions including disclaimers, limitations of liability, and dispute resolution terms (including arbitration and a class action waiver where permitted).
These PickSpot Platform Terms of Service (the "Terms") are a legally binding agreement between you ("you", "User") and PickSpot Technologies Inc., a Delaware corporation ("PickSpot", "we", "us", "our").
By clicking "I Agree", creating an account, claiming a Handle, or using the Services, you agree to these Terms.
Recitals
- A.PickSpot provides a software-based digital addressing and parcel-routing platform.
- B.PickSpot does not provide courier, carrier, or delivery services and does not take custody of parcels.
- C.Independent third parties (Merchants, Couriers, and Agents) perform physical parcel transport and premises custody functions.
Definitions
- "Agent": an independent pickup-point operator that has agreed to receive and release parcels subject to PickSpot's Agent terms.
- "Courier": any third-party transport provider moving a parcel.
- "Handle": your unique PickSpot identifier in the format name@pickspot.world (or successor format).
- "Merchant": a business dispatching parcels to Handles, including via PickSend.
- "Parcel": a physical package routed via a Handle.
- "PickSend": PickSpot's merchant dispatch tool.
- "Services": pickspot.net, PickSpot apps, and related user features.
- "Policies": Privacy Notice and Dispute & Claims Policy (each as updated).
Platform status; no transport; no custody; no bailment
- PickSpot provides software tools to create Handles, resolve Handles to Agents, generate verification codes, and display parcel status.
- PickSpot is not a courier/carrier and does not transport parcels.
- PickSpot is not a warehouse operator and does not store or hold parcels.
- You acknowledge PickSpot does not take possession of parcels and no bailment/custodial relationship arises between you and PickSpot.
Accounts; identity; security
- You must provide accurate information and keep it updated.
- You are responsible for safeguarding your device, credentials, and any OTP/QR pickup codes.
- PickSpot may require identity verification for fraud prevention, compliance, or safety. Failure may restrict access.
Handle terms
- Licence; not property. Handles are licensed, not sold. PickSpot retains all intellectual property and registry rights in the Handle namespace.
- Suspension/reclamation. PickSpot may suspend or reclaim Handles for fraud, abuse, impersonation, legal compliance, inactivity, or rights complaints.
- No misuse. You must not use a Handle to impersonate others or infringe rights.
Prohibited items and unlawful use
- You must not use the Services to ship or receive prohibited items (including illegal goods, weapons, explosives, narcotics, hazardous materials, counterfeit goods, or other unlawful items).
- Agents may refuse parcels reasonably suspected to contain prohibited items and may report as required by law.
Agent relationships (independent third parties)
- Agents are independent businesses. PickSpot does not control Agent premises, staffing, or day-to-day operations.
- Agent availability, opening hours, and service levels may vary.
Disputes and claims (Resolution Centre)
The Dispute & Claims Policy is incorporated by reference. You agree to:
- Attempt first-line resolution with the Agent (pickup issues) or Merchant/Courier (transit issues).
- Escalate to PickSpot only after the first-line window or for serious incidents.
- Provide evidence as required and within deadlines.
PickSpot may impose platform remedies (account restrictions, Agent enforcement actions, payout holds under Agent terms) but does not guarantee recovery.
Fees and promotions
- Fees (if any) will be disclosed at point of purchase.
- Promotions, credits, or points may be changed or withdrawn at any time subject to mandatory law.
Privacy
PickSpot processes personal data under the Privacy Notice. You acknowledge cross-border processing may occur.
Intellectual property
All Services, software, UI, trademarks, and content are owned by PickSpot or its licensors. You receive a limited, revocable, non-transferable licence to use the Services for personal purposes.
Disclaimer of warranties
The Services are provided "as is" and "as available". To the maximum extent permitted by law, PickSpot disclaims all warranties (express, implied, statutory), including fitness for purpose and non-infringement.
Limitation of liability
To the maximum extent permitted by law:
- PickSpot is not liable for parcel loss/damage/theft, courier performance, or Agent conduct.
- PickSpot is not liable for indirect or consequential losses.
- PickSpot's aggregate liability for claims relating to the Services will not exceed the greater of USD 100 or fees paid by you to PickSpot in the 12 months preceding the event giving rise to the claim.
Nothing limits liability where unlawful to limit (including certain consumer rights).
Indemnity (User)
You will indemnify and hold harmless PickSpot from third-party claims arising out of your breach, prohibited items, unlawful conduct, or rights infringement.
Arbitration; class action waiver; injunctive relief
- Informal resolution first. Before initiating formal proceedings, you agree to notify PickSpot and allow 30 days to attempt informal resolution.
- Arbitration (where permitted). Where enforceable and permitted by law, disputes will be resolved by binding individual arbitration; class/collective actions are waived.
- Exceptions. Either party may seek injunctive relief for urgent matters (security, fraud, IP misuse) and may bring eligible claims in small claims court where available.
- Mandatory law. If your local law prohibits arbitration/class waiver for consumer disputes, local mandatory rules apply.
Termination
PickSpot may suspend or terminate your access for fraud, abuse, prohibited items, legal risk, or material breach. You may stop using the Services at any time.
Force majeure
PickSpot is not responsible for delay or failure due to events beyond reasonable control.
Notices
Notices to PickSpot: legal@pickspot.net and 1007 N Orange St Ste 1382, Wilmington, DE 19801-1239, United States. PickSpot may notify you by email, in-app notice, or posting updated Terms.
Assignment; entire agreement; amendments; severability; survival
PickSpot may assign these Terms. These Terms and incorporated Policies are the entire agreement. PickSpot may amend by posting updates; continued use indicates acceptance subject to mandatory law. If any provision is unenforceable, the remainder remains in effect. Key provisions (IP, disclaimers, limitations, indemnity, dispute terms) survive termination.
